Delta Digital, LLC Terms and Conditions

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. THESE TERMS (“AGREEMENT”) CONSTITUTE A LEGAL AGREEMENT BETWEEN YOU AND DELTA DIGITAL, LLC.

SECTION 16 OF THIS AGREEMENT CONTAINS IMPORTANT INFORMATION ABOUT HOW DISPUTES BETWEEN YOU AND DELTA DIGITAL, LLC WILL BE RESOLVED. UNLESS YOU OPT OUT OF THE ARBITRATION AGREEMENT, YOU WILL WAIVE YOUR RIGHT TO A JURY TRIAL AND WILL BE REQUIRED TO PURSUE CLAIMS THROUGH BINDING INDIVIDUAL ARBITRATION. PLEASE READ SECTION 16 CAREFULLY.




1. Purpose

Delta Digital, LLC (“Delta Digital,” “we,” “us,” or “our”) provides a platform for hosting communities to share educational content and resources. By using our platform, website, or services (“Services”), you agree to comply with these Terms. While Delta Digital enforces these Terms, we cannot guarantee adherence by all users (“Users”) and disclaim liability for their actions.


2. Eligibility

By accessing the Services, you represent that:

  • You are at least 13 years old.
  • You have the authority to enter into this Agreement
  • You will comply with all applicable laws while using the Services.
  • If you do not agree to these Terms, you may not use the Services.


3. Access

Access Rights: Delta Digital grants you a revocable license to use the Services, provided you comply with these Terms. We may modify, suspend, or terminate your access at any time at our discretion. Prohibited Uses:

  • For community members (“Members”): Services are for personal, non-commercial use only.
  • For content creators and group administrators (“Admins”): Services must be used solely on behalf of your organization, with proper authorization.
  • You may not transfer your access privileges to others.

Security: You must keep your password confidential and notify us immediately of any unauthorized access.


4. Acceptable Use Policy

By using the Services, you agree to:

  • Use the Services only for lawful purposes.
  • Avoid causing harm, nuisance, or inconvenience to others.
  • Not exploit the Services for commercial purposes without authorization.
  • Refrain from distributing harmful, infringing, or inappropriate content.
  • Respect the privacy and intellectual property rights of others..


5. Information on Our Services

We strive to provide accurate information but disclaim liability for errors or omissions. Use or reliance on our content is at your own risk. Links to third-party websites are provided for convenience and do not imply endorsement.


6. Payment Terms for Admins

Subscriptions: Admins authorize Delta Digital to charge subscription fees as outlined during registration. Fees are non-refundable and automatically renew unless canceled.

Payment Responsibility: Admins must ensure timely payment. Failure to pay may result in suspension or termination of access.

Cancellation: Subscriptions can be canceled via account settings or by contacting support. Admins will retain access until the end of the billing period.


7. User Submissions and Content

You retain ownership of content you submit (“User Content”) but grant Delta Digital a perpetual, royalty-free license to use, display, and distribute your content. Ensure your content complies with applicable laws and does not infringe on others’ rights.


8. Intellectual Property

Delta Digital owns all rights to the Services and associated intellectual property. You may not copy, distribute, or modify any aspect of the Services without authorization.


9. Privacy Policy

By using the Services, you agree to our Privacy Policy, which governs how we collect, use, and protect your Personal Data.


10. Third-Party Content

We are not responsible for third-party websites or advertisements accessed through the Services. Engage with third-party content at your own risk.


11. Indemnification

You agree to indemnify Delta Digital against claims, losses, or damages arising from your misuse of the Services or violation of these Terms.


12. Disclaimers and Limitations of Liability

No Warranties: The Services are provided “AS IS.” We disclaim all warranties, including implied warranties of merchantability or fitness for a particular purpose.

Limitation of Liability: Our liability is limited to the fees paid by you in the two months preceding a claim or $100, whichever is greater. Some jurisdictions may not allow these limitations.


13. Arbitration Agreement

Scope: Disputes arising from these Terms will be resolved through binding arbitration, except for claims eligible for small claims court.

Opt-Out Option: You may opt out of arbitration within 30 days of agreeing to these Terms by contacting us at support@deltadigital.com.


14. Termination

We may modify or discontinue the Services at any time. Violations of these Terms may result in termination of access without notice.


15. General Provisions

Governing Law: This Agreement is governed by the laws of Delaware.

Severability: If any provision is deemed invalid, the remaining provisions remain in effect.

Entire Agreement: These Terms represent the complete agreement between you and Delta Digital.
